Spin-off of several hospitals from a non-profit order organization

Heuking Kühn Lüer Wojtek provided legal and tax advice to the non-profit organization of a catholic order in the designing of the spinning off of its hospitals into independent limited liability corporations.

In doing so, both corporate law, the law relating to the conversion of the companies and the tax aspects were examined, in particular with respect to non-profit status and real estate transfer tax. Many associated points, in particular employment law questions were investigated and the contracts, in particular the articles of incorporation, were drafted.
