Heart Center of University Clinic Cologne
Heuking Kühn Lüer Wojtek drafted a comprehensive feasibility study for university clinic Cologne on the possible arrangements for a reconstruction of the heart center with third-party financing and the spinning off of the heart surgery department into an independent company. This study included the corporate law, law relating to changes in legal form and tax law aspects, as well as above all questions relating to the law on university construction subsidies, the state budgetary regulations, the law relating to universities, employment law and civil law possibilities for a transfer of use.
With regard to the formation of an independent company, in particular the possibility of a two-stage implementation by means of the merging of the relevant departments of the heart center into a single medical center within the meaning of Section 38(2) of the Act regulating the transformation of companies (UG) in a first step and then the spinning off of this heart center into a new limited liability company to be set up after the conversion of the medical institutions in university clinic Cologne, a public law institution on the basis of the drafts with respect to Section 45a UG and the Regulation on the transformation of companies.
