Takeover of children's hospital Altona by AKK gGmbH, subsidiary of university clinic Hamburg-Eppendorf
The children’s hospital Altona is a large hospital with a focus on pediatrics in Hamburg, which has been operated by an owners' association since 1859. In 2003, the association transferred operational management of the children’s hospital Altona to AKK gGmbH, an operating company under the control of university clinic Hamburg-Eppendorf in order to financially restructure the children’s hospital.
After about three years of successful cooperation, AKK gGmbH took over all of the Altona children’s hospital’s assets. The merger was approved by the German Federal Cartel Office with special requirements and has been executed in the meantime.
Heuking Kühn Lüer Wojtek advised AKK gGmbH in the designing of the operational model, provided support with respect to contract, corporate, labor and cartel law during the purchase of the company and negotiated on its behalf. In addition, we successfully completed the merger inspection proceeding before the Bundeskartellamt for university clinic Hamburg-Eppendorf and AKK gGmbH and the owners' association.
