Advice to founding shareholders on sale of Medentika group

Heuking Kühn Lüer Wojtek advised the founding shareholders of Medentika GmbH and Medentika Implant GmbH on the sale of 51 percent of the shares in the group. Buyer is Swiss-based Straumann Holding AG, Basle. As part of the sale, Heuking Kühn Lüer Wojtek's team, led by partner Dr. Christoph Schork, Cologne, advised Medentika in implementing the company's future strategy.

Medentika group, established in 2005 and headquartered at Hügelsheim, is a fast-growing provider of cost-efficient prosthetics for leading dental implant and CAD/CAM systems. This includes standard and custom secondary parts, which give dental technicians a one-stop source to restore implants from a range of manufacturers. Medentika products are sold directly in Germany and through distributors in many other countries in Europe and the rest of the world.

Publicly listed Straumann group is considered a pioneer and worldwide leading provider in the field of dental implantology. In collaboration with leading clinics, research institutes and universities, Straumann researches, develops and manufactures dental implants, instruments, prosthetics and tissue regeneration products for use in tooth replacement and restoration solutions or to prevent tooth loss.

The Cologne-based M&A team around Dr. Christoph Schork and Kristina Schneider thus continues to develop its M&A expertise in the dental and medical product fields. Since 2008, several corporate transactions in this field, including the resale of Helmut Klingel group, the acquisition of the Polytech and the Domilens groups were accompanied. Other clients include additional renowned German and foreign dental groups.
