Medios AG, a pharmaceutical company in Berlin, has been listed on the Hamburg Stock Exchange since 2012. In December 2017 Medios AG became fully listed on the Regulierter Markt (“Regulated Market”) of the Frankfurt Stock Exchange. The newly issued shares were oversubscribed several times and yielded almost EUR 19.3 million.
The Reverse IPO was started by the contribution of shares into the already listed shell of Medios AG, thereby creating subsidiaries. These transactions were completed as share-for-share deals.
In his capacity as Notary Public, Dr. Karsten Kühne was involved in the process from the beginning by assisting in outlining the measures required to the conclusion of the project by filing applications with the commercial register. This included, amongst other actions, the notarization of the initial contribution agreements, supporting the preparation of meetings and taking the minutes of the necessary General Meetings and notarizing them. Followed by applying for the registration of the resolutions taken at the meetings and supervising the registrations in the commercial register, which had to be executed on specific days.
