The German holding company of international engineering and innovation consulting company Assystem SA, headquartered in Paris, with the assistance of Heuking Kühn Lüer Wojtek, entered into an agreement on the acquisition of all shares in Berner & Mattner Systemtechnik GmbH (see also FAZ, February 1, 2011, p. 16). The approval for the transaction by the antitrust authorities is still pending.
Assystem is a leading international provider of innovative engineering services, particularly in the key aerospace and automotive industries. Assystem employs more than 8,500 people worldwide and reported 2009 sales of EUR 613 million. Assystem is listed at NYSE Euronext Paris. In Germany, about 800 people are currently employed by Assystem Group. Berner & Mattner specializes in the specification, development and testing of embedded electronics systems and generated revenue of EUR 28 million in 2010. Berner & Mattner is headquartered in Munich and operates offices in Cologne, Hamburg, Berlin, Stuttgart, Ingolstadt, Wolfsburg and Vienna. With about 286 employees, Berner & Mattner operates as highly qualified niche player and has longstanding business relationships with leading European manufacturers, particularly in the automotive, transportation and automation industries, including Daimler, BMW, Bombardier and Siemens.
With the acquisition of Berner & Mattner, Assystem strengthened its position in the embedded system, IT and electronics sectors.
Heuking Kühn Lüer Wojtek already provided counsel to Assystem on its prior acquisitions in Germany, including the acquisition of today's Assystem Aerospace Germany GmbH, headquartered in Hamburg and of Atena Engineering GmbH, headquartered in Munich.
