Luxemburg-based international telecommunications provider MACH announced that the company acquired WorldCell's Roaming Service Bureau. WorldCell is an international provider of worldwide wireless service solutions, headquartered in Silver Spring, Maryland/USA.
The Roaming Service Bureau is based on patented software by WorldCell for international use and invoicing in the wireless sector with different wireless standards and provides services to several hundred thousand users, such as for the invoicing of RIM "BlackBerry" use worldwide. A purchase price was not disclosed.
On the part of WorldCell, the deal was handled by Bingham Partner Andy Ray (Washington, DC). With respect to the Due Diligence as regards Germany, the team was supported by attorneys Dr. Axel Spies (Bingham, Washington, DC) and Michael Schmittmann (Heuking Kühn Lüer Wojtek, Düsseldorf). Together with Heuking, in particular its telecommunications experts Michael Schmittmann and IP law expert Astrid Luedtke, Spies had previously created the requirements of the transaction by revising contracts with third parties and restructuring WorldCell's EMEA business.
