Heuking Kühn Lüer Wojtek advises incadea on the acquisition of a division of RC Mid-market Solutions GmbH




With a team led by Dr. Günther M. Bredow, Heuking Kühn Lüer Wojtek advised incadea on the acquisition of the Dealer Management Systems (DMS) division of RC Mid-market Solutions GmbH. The division was initially spun off by seller Danbury to a special purpose company (sister company), which was subsequently acquired by incadea. The funds for the acquisition were partly raised by an IPO of the company listed in London Stock Exchange's AIM segment and partly by financing through Citibank.

RC Mid-market Solutions GmbH is a leading provider for IT systems, IT applications and IT infrastructure, in particular of dealer management systems for the automotive retail market. The company offers among others a multi-brand-capable and multi-client-capable standard system for automotive retailers and service companies, allowing for the management of all business transactions in customer service, vehicle and parts sales by brand on the basis of the incadea software. RC Mid-market Solutions GmbH today serves about 1,400 customers with more than 12,500 end users all across Germany. incadea group is a leading provider of enterprise software solutions and services to the global automotive retail and wholesale market. incadea is present in 80 countries, serving a growing community of more than 60,000 end users, across dealerships of market-leading OEMs around the world. By acquiring the key business of RC Mid-market Solutions GmbH, incadea intends to further expand this competence.

Heuking Kühn Lüer Wojtek supported incadea legally comprehensively in structuring, negotiating and closing the acquisition. The issuing of incadea plc. shares and financing were accompanied by Heuking Kühn Lüer Wojtek in collaboration with Stephenson Harwood LLP, London.
