Heuking Kühn Lüer Wojtek advises Sygnis AG on capital increase

Sygnis AG plans a capital increase with subscription rights of up to EUR 4.95 million. The capital market team led by Dr. Thorsten Kuthe and Madeleine Zipperle of the Cologne office of commercial law firm Heuking Kühn Lüer Wojtek advised the company.

As part of the capital increase by the issuing of up to 2,475,678 new shares at a price of two euros per share, the proceeds from the issue are to serve the financing of operational business and the development and marketing of the company's proprietary product portfolio. Shareholders may subscribe the new shares at a subscription ratio of 13:3 in the subscription period starting on November 18, 2014 and ending on December 4, 2014 at 12:00 noon CET. There will be no organized subscription rights trading. Shares not subscribed by existing shareholders will be offered to selected investors in private placement at a subscription price equivalent to a share price of 2.00 euros per share. The private placement period will start immediately after the end of the subscription period.

Heuking Kühn Lüer Wojtek advised Sygnis AG - a German-Spanish listed company specializing in the development of tools for molecular biology - repeatedly, for example in February 2014 on the listing of seven million new shares.
