With a team led by partner Dr. Michael Dröge, Heuking Kühn Lüer Wojtek advised BÖAG Börsen AG (BÖAG), based in Hamburg and Hanover, on taking over the operations of Düsseldorf Stock Exchange. BÖAG, which already operates the stock exchanges in Hamburg and Hanover, will thus combine three stock exchange sites under its umbrella in the future.
As required for the operation of the public Düsseldorf Stock Exchange, the spin-off of the assets from the previous operating company, Börse Düsseldorf AG (BDAG), to a new company will precede the transaction agreed in March. This is necessary to separate the assets required for stock exchange operations from BDAG's other assets and liabilities, in particular in relation to pension commitments.
BÖAG will operate the public Düsseldorf Stock Exchange using the synergy effects resulting from the association with the Hamburg and Hanover stock exchanges, without causing any adverse effects on traders participants and listed companies.
