With a team led by Frankfurt-based partner Dr. Günther M. Bredow and comprising members from several offices, Heuking Kühn Lüer Wojtek advised Janoschka group on entering into an investment agreement with a financial investor and management. The group's parent company, Janoschka Assets GmbH & Co. KG, that has previously been family-owned will initially be converted into a stock corporation. In a further step, Süd Beteiligungen GmbH (SüdBG) and management of Janoschka group intend to acquire a stake in the future Janoschka AG. Janoschka group will thus receive a substantial amount of new funds to finance its continued expansion. Closing of the transaction is subject to approval by the antitrust authorities.
Internationally operating Janoschka group, headquartered in Kippenheim, Baden-Württemberg, employs some 1,200 people and is one of Europe's largest full-service providers for tailor-made products and services in the packaging market and one of the world's leading companies in the prepress sector. Its services include engraving and laser engraving, etching, gravure and graphic services, and flexo and offset printing. Janoschka has 24 sites in 14 countries worldwide, including France, Spain, Switzerland, The Netherlands, Poland, Portugal, Russia, Malaysia, Vietnam, Argentina, and Mexico.

Heuking Kühn Lüer Wojtek already advised Janoschka group two years ago as part of its corporate financing through senior loans (loans and credit lines) from IKB Deutsche Industriebank AG, NordLB, and Sparkasse Offenburg, as well as from mezzanine investors. Heuking Kühn Lüer Wojtek provided comprehensive legal and tax advice on the current transaction, including structuring the transaction and negotiating and implementing the investment agreement.
