Heuking Kühn Lüer Wojtek advises PflegeButler group on the merger with Onesta group

With a team led by Kristina Schneider, Heuking Kühn Lüer Wojtek comprehensively advised PflegeButler group on its merger with Onesta group. Closing is subject to the approval of the antitrust authorities.

With its workforce of just over 500, Onesta group currently offers services for 550 people in need of care at eight sites in Hesse and Rhineland-Palatinate. Onesta’s offering includes assisted living, outpatient care, daytime nursing care, inpatient care, and intensive care. In the next two years, Onesta will expand its range of services by three additional outpatient assisted living sites with daytime nursing care, so that it will provide care and support to over 900 customers with a good 850 employees by the end of 2022.

PflegeButler group currently operates ten of its residential parks for 600 residents in East Frisia, Friesland, and Ammerland with some 600 employees and will be opening two more in its region this year. Services offered by the residential parks include outpatient assisted living with daytime nursing care integrated into the building. Over the next three years, the group will open another ten residential parks, most of which are already under construction. By 2023, the group will thus be operating over 1,100 apartments with some 1,050 employees.

Combined, the two groups will provide care for more than 2,000 people in need of care over the next few years with about 1,900 employees. Both groups also plan to establish additional sites in their regions and German states beyond 2023.

At the beginning of the year, the deal team led by Kristina Schneider had already advised Munich-based holding group Armira on its investment in PflegeButler group.
