Heuking Kühn Lüer Wojtek advises Compleo on the acquisition of innogy eMobility Solutions

With a team led by Dr. Oliver Böttcher and Kristina Schneider from its Cologne office, Heuking Kühn Lüer Wojtek advised Compleo Charging Solutions AG on the acquisition of E.ON subsidiary innogy eMobility Solutions GmbH (“ieMS”).

The acquisition of ieMS, negotiated since July, will create one of the leading full-service providers for charging technology in Europe at the Dortmund site. Compleo will take over the entire ieMS workforce, all customer relationships, and the ieMS subsidiaries in Germany and the U.K. The business of the ieMS U.S. subsidiaries is not included in the agreement. The transaction is expected to be closed by year-end.

The team led by Cologne-based Heuking partners Böttcher and Schneider previously advised Compleo comprehensively on the acquisition of wallbe GmbH (now Compleo Connect GmbH) in H1/2021.

Compleo Charging Solutions AG is one of the leading full-service providers of charging technology for electric vehicles in Europe. The company supports its business customers with its charging technologies and charging stations, the backend of the charging infrastructure and, upon request, also with planning, installation, maintenance, and service. Compleo’s offering includes AC and DC charging stations. The company’s DC charging stations are the first ones on the market that comply with calibration regulations. Compleo is headquartered in Dortmund with production facilities located there and in Paderborn. The manufacturer focuses on innovation, safety, consumer-friendliness, and cost-effectiveness. Compleo started production of its first charging stations in 2009. The fast-growing company currently employs more than 400 people. Since October 2020, Compleo has been listed in the Prime Standard segment of Frankfurt Stock Exchange (ISIN: DE000A2QDNX9). In April 2021, Compleo acquired 100% of the shares in wallbe GmbH, now Compleo Connect GmbH.

As a technology company with more than 12 years of experience, ieMS develops and produces charging hardware and digital services for electromobility. The charging hardware can be controlled using ieMS software services or third-party systems. The ieMS eMobility backend already networks some 200,000 charging points in around 30 countries worldwide. innogy eMobility Solutions, a wholly owned subsidiary of E.ON group, has its own sites in Germany, the U.K., the U.S., and the Philippines.
