Heuking Kühn Lüer Wojtek advises Odewald KMU on acquisition of Spieth & Wensky Group

With a team led by Dr. Pär Johansson, Heuking Kühn Lüer Wojtek advised Odewald KMU, a German holding company focusing on mid-sized companies, on the acquisition of Obernzell-based Spieth & Wensky group. Spieth & Wensky group is a leading manufacturer of traditional costume clothing. Via an extensive system of sales representatives, the clothing collection is sold to about 700 specialized retail customers, particularly in Germany, Austria, South Tyrol and Switzerland. The entire range is manufactured at the Obernzell location and in separate manufacturing plants (joint ventures). Altogether, the group employs over 400, including 85 in Germany.

The Odewald KMU fund, issued with a volume of about EUR 150 million at the end of 2008, invests in medium-sized, established high-growth companies in German-speaking countries. Investors in Odewald KMU are mainly German institutional investors, but also include asset management companies and private investors.

For Heuking Kühn Lüer Wojtek, this has already been the eighth successful transaction in which the Cologne-based M&A team provided lead counsel to Odewald KMU. In 2011, Heuking Kühn Lüer Wojtek advised Odewald KMU on the acquisitions of Polytech Group and MEDIA CENTRAL Gesellschaft für Handelskommunikation und Marketing mbH. In 2012, the Cologne-based M&A team was lead counsel on the acquisition of univativ GmbH & Co. KG. Also in 2012, the team around Dr. Pär Johansson advised Odewald KMU on the first sale of one of its holdings, Helmut Klingel GmbH.
