Heuking Kühn Lüer Wojtek advises Meridio on restructuring and combined cash and non-cash capital increase

A team led by Dr. Thorsten Kuthe, Partner at business law firm Heuking Kühn Lüer Wojtek, legally advised Meridio Vermögensverwaltung AG on restructuring the company and on a combined cash and non-cash capital increase of up to 15,750,000 euros.
 
In a spin-off, the company’s entire assets, including the business operations, will be transferred to wholly-owned subsidiary MERIDIO ZIBA AG, headquartered in Cologne. Previous Meridio Vermögensverwaltung AG is to act as a group holding company in the newly created group structure.
 
As part of the combined cash and non-cash capital increase, new shares will be issued at a price of EUR 1.00 per share and offered to shareholders for subscription at a ratio of 1:5. Shares that are not subscribed to within the subscription period will be issued against a contribution in kind of shares in niiio GmbH. The main shareholder of niiio GmbH is Görlitz-based Deutsche Software Engineering & Research GmbH, which will become a major shareholder of the new holding company.
 
The restructuring and the cash and non-cash capital increase are intended to expand the offering to include Fintech products, to open up new sales territories, to expand the customer base, and to improve profitability. At the same time, it should be ensured that operating units continue to focus on a particular business segment as a core competence.
 
Cologne-headquartered Meridio is an approved asset manager, established in 1998. The company offers entrepreneurs and wealthy individuals tailored solutions in the areas of asset management, fund management, closed-end investments, real estate, financing, and retirement planning.
 
niiio GmbH operates a financial community platform on the online portal www.niiio.me on the basis of a software developed by its key shareholder, Deutsche Software Engineering & Research GmbH. The platform is still in beta development.
 
In the future, meridio matrix GmbH will act as robo-adviser in digital portfolio management (asset management) and digital investment brokerage.
