Heuking Kühn Lüer Wojtek advises HPI AG on issuing corporate and convertible bonds

At the end of 2011, law firm Heuking Kühn Lüer Wojtek advised HPI AG (Hoechst Procurement International), listed in Frankfurt Stock Exchange's Entry Standard, on issuing a corporate bond with a volume of up to EUR 6 million and a convertible bond with a volume of up to EUR 1.5 million. The 9% interest-bearing corporate bond will be included in the OTC market. The issue is supported by Süddeutsche Aktienbank AG as lead managers.

The funds from the corporate bond issue are used to help finance the company's further expansion. The company plans to increase existing investments and the acquisition of other companies from the proceeds. The proceeds of the convertible bond will be used to further expand operative business.

HPI AG has been advised for several years by lawyer Boris Dürr and his team, particularly in matters of stock corporation law and capital market law as well as in acquisitions and restructuring matters. In the last few years, advice was provided on several successfully concluded transactions. They included the merger between then-ce Global AG with HPI GmbH, the acquisition of all shares in AZEGO Components AG, the acquisition of all holdings in 3KV GmbH and most recently of a majority interest in MRL Mannesmannröhren Logistic GmbH.
