Heuking Kühn Lüer Wojtek advises S.A.G. Solarstrom AG on the acquisition and sale of five photovoltaic systems

A team led by corporate law expert Dr. Mirko Sickinger, LL.M., Partner at the Cologne office of commercial law firm Heuking Kühn Lüer Wojtek, advised S.A.G. Solarstrom AG, headquartered at Freiburg im Breisgau, on the acquisition and sale of a portfolio of five photovoltaic ground-mounted systems with a total output of about 12 MWp at the end of 2012. As part of the advice, initially a legal due diligence review of the photovoltaic systems in terms of civil law and public law was carried out for S.A.G. Additionally, the required purchasing contracts were drafted and negotiated.

The five photovoltaic systems were sold by a subsidiary of Hypo Alpe Adria and were evaluated in technical and legal terms by S.A.G., supported by Heuking Kühn Lüer Wojtek. Subsequently, they were restructured and sold to an investor at a purchase price in the two-digit million range within ten days. With this transaction, S.A.G. entered new territory in its business operations since this represents the starting point for the development of a new business unit dealing with the restructuring of solar investments on the secondary market.
