Advising Noske-Kaeser on sale to French Engie Axima group

The last remaining business unit of Hamburg-based air conditioning and refrigeration systems manufacturer Noske-Kaeser, including its subsidiaries in India, Australia, Malaysia, and Turkey, was sold to French Engie Axima group. Dr. Johan-Michel Menke, Partner at Heuking Kühn Lüer Wotjek's Hamburg office, advised Noske-Kaeser on the transaction.
 
Noske-Kaeser’s business operations were continued in insolvency proceedings for close to ten years. Following the sale of the Container Service division to management in 2015, Indian-based Lloyd Electric & Engineering Ltd. acquired the Rail and Vehicle Air Conditioning Systems division in 2016. The business unit sold now comprises the development, manufacture, and sale of innovative fire extinguishing, air conditioning, and refrigeration solutions for the shipbuilding and offshore wind energy sectors.
 
Noske-Kaeser, a supplier of system solutions and components for naval vessels, submarines, passenger and merchant ships, mega yachts, and offshore platforms, is based in Hamburg. The company was founded in 1879. 
 
Engie Axima group specializes in air conditioning, refrigeration, and fire protection and covers the entire spectrum of design, implementation, and maintenance. The company employs 1,200 engineers and technicians in Europe.
