Heuking advises insolvency administrator Spiekermann on the sale of WHG Rahn to Klima Becker group

A team led by Dr. Johan-Michel Menke, Partner at Heuking Kühn Lüer Wojtek’s Hamburg office, advised lawyer Olaf Spiekermann as insolvency administrator of WHG Rahn GmbH on the sale of the company’s business operations to Saarbrücken-based Klima Becker Gruppe GmbH, a member of Peter Gross Bau Holding GmbH. As provisional insolvency administrator, Spiekermann, a Partner at the law firm of Brinkmann & Partner, had initially continued operations without restriction for two and a half months prior to succeeding in selling the business at the beginning of December following successfully concluded reconciliation of interests and social plan negotiations.

Looking back on 65 years of company history, WHG Rahn GmbH is one of the largest providers in Rhineland-Palatinate for planning, installation, and maintenance of heating, water, and air conditioning systems with almost 100 employees. It works almost exclusively for public-sector and commercial clients.

In the takeover, on which Heuking advised on issues relating to employment law, the vast majority of the jobs in Pirmasens as well as the order and customer relationships were retained.

Headquartered in St. Ingbert, Peter Gross Bau Holding GmbH is the parent company of a medium-sized construction group founded in 1885. Gross construction group has some 1,400 employees at 40 member companies. It has operations in Saarbrücken, Karlsruhe, Mannheim, Munich, Stuttgart, Luxembourg, and Basel with construction sites all throughout Germany. The group operates in all areas of building construction and civil engineering, supplemented by activities in the fields of building materials, raw materials, and recyclables.
