Advising Fair Value REIT-AG on cash capital increase

Heuking Kühn Lüer Wojtek advised Fair Value REIT-AG on its capital increase by up to 4,703,441 shares against cash contributions utilizing the entire 2014 authorized capital, with shareholder subscription rights.

A capital market team led by partners Dr. Mirko Sickinger, LL.M. (Cologne), Michael Neises (Frankfurt, both Capital Markets) and Klaus Weinand-Härer (Frankfurt, Tax Law), advised Fair Value REIT-AG on legal and tax matters of the capital increase. "We see a positive capital market and investment environment for REITs in Germany,“ G-REIT expert Klaus Weinand-Härer said. "Therefore we consider the chances to be good for a continuously increasing importance of REITs on the German capital market.“ Previously, Weinand-Härer had already advised several G-REITs in connection with capital measures.

Up to 4,703,441 new no-par value bearer shares of Fair Value REIT-AG are offered, each with a notional amount of the share capital of EUR 2 and full dividend entitlement as of January 1, 2015, within a price range from EUR 7.80 to EUR 8 per share as part of a public offer in Germany and Luxemburg, with subscription rights for the company's shareholders. The prospectus was drafted in English and was approved by the Federal Financial Supervisory Authority (BaFin) on April 17, 2015.

The capital increase of Fair Value REIT-AG serves primarily for the financing of direct and indirect investments in commercial real estate. Up to 90% of the overall net proceeds are to be used to finance the acquisition of real estate (direct investments) from subsidiaries and third parties, and up to 10% of the overall net proceeds to finance the acquisition of further participations in subsidiaries from minority shareholders as well as for general corporate purposes.
