The term sheet is typically prepared by the (lead) investor and then negotiated with the founders and/or the start-up. It forms the basis of the transaction by setting out the key financial, legal, and organizational terms of the planned investment. Building on this foundation, the detailed agreements (“long forms”) – in particular, the investment and shareholders’ agreements, articles of association, and rules of procedure – are subsequently negotiated and finalized.
