Capital increase through multi-part transaction at Enapter AG

A Cologne-based Heuking team led by Dr. Thorsten Kuthe advised Enapter AG on a capital increase with issue proceeds of about EUR 53 million. The capital measure consisted of three steps overall.

In the initial step, part of the shares were subscribed by institutional investors in an accelerated bookbuild where existing major shareholder Blugreen Company Limited also participated by way of a backstop agreement.

In the second step, Johnson Matthey, a London-based global specialty chemicals company and market leader in environmental technologies, acquired a tranche of the capital increase as part of entering into a strategic partnership with Enapter.

Finally, after publication of the necessary securities prospectus, a subscription offer was made to existing shareholders.

Pre-placement was accompanied by First Berlin Securities Brokerage as Sole Global Coordinator and Joint Bookrunner with Clarksons Platou Securities as Joint Bookrunner, the placement at Johnson Matthey by investment bank Bryan, Garnier & Co. The rights offering and technical settlement of all steps were accompanied by mwb fairtrade Wertpapierhandelsbank.

Structuring and managing the overall transaction over several months, Heuking acted as transaction counsel for all consortium members and Enapter AG.
