HEUKING advises shareholders of ROTOR Software GmbH on sale to Aptean

HEUKING provided comprehensive legal advice to the shareholders of ROTOR Software GmbH on the sale of all shares to US software company Aptean. The transaction was led on the HEUKING side by corporate/M&A experts Christoph Prochnau and Katharina Waszczynski.

ROTOR Software GmbH is one of the leading providers of dealer management solutions in the German-speaking region, specialising in trade and service businesses in the power equipment, agricultural machinery and construction equipment sectors. The company was formed in 2021 through the merger of SEWIGA Software-Team GmbH (St Ingbert) and Orbis Software GmbH (Oyten). ROTOR develops and distributes industry-specific software solutions for dealers of power equipment, agricultural machinery, municipal technology, construction equipment and forklift trucks, as well as complementary consultancy and hardware services.

Aptean is a global provider of industry-specific software solutions headquartered in Alpharetta, Georgia (USA). Through the acquisition, Aptean is expanding its dealer management systems portfolio with ROTOR's solutions whilst strengthening its presence in the DACH region. For ROTOR, joining the Aptean group presents additional growth and development opportunities.

HEUKING advised the shareholders of ROTOR Software GmbH throughout the entire transaction on all corporate and transactional law matters. Christoph Prochnau and Katharina Waszczynski were supported by Dr. Henrik Lay (tax law) and Magdalena Köster (corporate/M&A).
