HEUKING advises Taiwanese Ennoconn Corp. on takeover offer for Kontron AG

A HEUKING team led by Munich-based M&A partner Boris Dürr provided legal advice to Ennoconn Corporation (“Ennoconn”), the parent company of the globally active Ennoconn Group and a portfolio company of Apple manufacturer Foxconn, on the preparation, structuring and execution of a takeover offer for all shares of Kontron AG (“Kontron”).

Ennoconn is a publicly listed Taiwanese electronics manufacturer specializing in the production of industrial computers, Internet of Things platforms and digitalization solutions. In the 2025 financial year, the Ennoconn Group, with over 10,000 employees, generated revenue of approximately 4.1 billion euros and EBITDA of approximately 450 million euros. Ennoconn’s market capitalization exceeds 1.6 billion euros.

Kontron AG is the parent company of the internationally active Kontron group, which specializes in the so-called Internet of Things (IoT). The company also offers hardware, software and services in electronics manufacturing. In the 2025 financial year, the Kontron group generated revenue of over 1.6 billion euros and EBITDA of over 237 million euros. The Kontron group employs over 6,600 people worldwide.

The takeover offer was structured as a mandatory offer pursuant to Section 35 of the German Securities Acquisition and Takeover Act (WpÜG). Ennoconn first exceeded the 30% voting rights threshold in Kontron through the acquisition of a share package in June 2026 and subsequently published the public takeover offer to all remaining Kontron shareholders. The offer is based on a valuation of Kontron of over 1.5 billion euros.
