HEUKING advises Circus SE on capital increase in kind for the acquisition of Belgian food robotics company Alberts

Circus SE has successfully completed the acquisition of the Belgian food robotics company Alberts. The purchase price was paid through the issuance of 1,200,000 new shares of Circus SE by way of a capital increase in kind. A HEUKING team led by Salaried Partner Miriam Schäfer advised Circus SE on the corporate law aspects of the capital increase against contributions in kind.

Circus SE is a technology company specializing in autonomous kitchen solutions and fully autonomous food supply systems. With this transaction, Circus expands its portfolio to include an additional robotics platform, several patents, and an established commercial presence in multiple European countries. Founded in 2015, Alberts is a European market pioneer in autonomous supply systems and develops patented robotic supply systems with a compact footprint of approximately 1 m², designed for high-density installations in severely space-constrained environments.

The acquisition complements the existing Circus portfolio with a product category that significantly broadens the company's offering in a high-growth segment of autonomous food robotics. The acquisition was completed on July 2, 2026. In addition to the capital increase in kind, the purchase price structure includes a cash payment upon achievement of defined milestones as well as an earn-out mechanism. The newly issued shares are subject to a lock-up period of 26 months.
