Heuking advises CitrinSolar on issuing a Green Bond

With a team led by Dr. Anne de Boer, LL.M. from the Stuttgart office, Heuking Kühn Lüer Wojtek advised CitrinSolar GmbH on issuing a Green Bond, which was structured in accordance with the ICMA Green Bond Principles 2021, as confirmed by a rating from imug Rating GmbH. The topic of sustainability was also presented in the securities prospectus in accordance with the current ESMA Guidelines on disclosure requirements.

Since its market entry in 2002, CitrinSolar GmbH has been an owner-managed system provider for renewable energies. The company, which operates all throughout Europe, is characterized by its many years of experience and comprehensive expertise in heat, electricity and mobility sector coupling.

The bond with an amount of up to EUR 30 million is to be used for the construction of a sustainable production facility for heat storage systems, a modern logistics and service center at a second site in Langenpreising near Munich comprising 25,000 square meters, and to implement sustainable projects.

The projects financed by the Green Bond in the areas of “environmentally friendly buildings,” “renewable energies,” and “energy efficiency” are expected to make a contribution to the United Nations Sustainable Development Goals (UN SDGs).

Heuking advised CitrinSolar GmbH on bond structuring, in particular with respect to sustainability aspects, on drafting the securities prospectus, the authorization procedure at the CSSF, as well as on the legal design of the issuance process.
