HEUKING advises INTEC Holding GmbH on acquisition of majority shareholdings
As part of its strategic growth, INTEC Holding GmbH has acquired majority stakes in OSW Technische Dokumentation Verlag GmbH, TECO Technical Concept GmbH, and SCOPE Engineering GmbH from ARBOR Gruppe GmbH.
A team led by Cologne-based HEUKING Partner Kristina Schneider advised INTEC throughout the entire transaction process, including legal due diligence, contract negotiations, and closing. The acquisition marks another step in INTEC’s business development and aligns with the company’s long-term strategic objectives.
Through this acquisition, INTEC is strategically expanding its existing portfolio. The three acquired companies contribute valuable expertise in areas such as the development of safety-critical systems, technical documentation, system integration, and product and software development. The investment reinforces INTEC’s market position, particularly in the defense and automotive sectors, and supports its objective of further broadening its range of services.
As part of the transaction, HEUKING also provided legal support in drafting the real estate leasing documentation for the new Aviation Support Center at Nordholz Airbase. This included the drafting of a general transfer agreement and the consideration of conditions related to publicly subsidized financing.
