HEUKING advises the shareholders of Auto Thoma GmbH on the sale to the AURELIUS Group including a rollover investment
A team led by Marcel Greubel, Senior Counsel at HEUKING's Munich office, provided comprehensive legal advice to the shareholders of Auto Thoma GmbH, based in Burgau, Germany, on the sale of all shares in the company to aribos group GmbH, a portfolio company of AURELIUS Wachstumskapital SE & Co. KG. The engagement also included advising on the rollover investment by one of the sellers in the buyer group.
Auto Thoma GmbH is a family-owned business based in Burgau, Bavaria, specializing in collision repair, vehicle painting, and automotive engineering. The target company will be integrated into aribos group GmbH, headquartered in Hildesheim, as its sixth add-on acquisition. Aribos group is a rapidly growing network of body shops specializing in collision damage repair, currently employing more than 250 people across now eight locations in Germany. With the acquisition of Auto Thoma GmbH, the aribos group further strengthens its position as one of the leading full-service providers of body and paint services in the German-speaking region.
In the course of the transaction, Harry Thoma and TT-Beteiligungs GmbH sold their entire stakes in the target company. TT-Beteiligungs GmbH made a rollover investment in the buyer group as part of the transaction; Timo Thoma will continue to serve as managing director of the target company and remain operationally active in the business. The parties agreed to keep the purchase price confidential.
