Strategic company sale: Heuking Kühn Lüer Wojtek advises SHS VIVEON AG on the partial sale of "Professional Services Value"

On October 19, 2017, SHS VIVEON AG signed a contract to sell the "Professional Services Value" business unit to mVISE AG. A team led by Dr. Thorsten Kuthe advised the company on the sale. The transfer will take place as a partial business transfer effective October 1, 2017. The contract is subject to usual conditions precedent.
 
The purchase price consists of an initial fixed purchase price installment of EUR 3.25 million, purchase price adjustments, and earn-out components, which will be due in 2018 and 2019. By selling the division, SHS VIVEON AG is implementing its strategy of continued focusing on software and products with the objective of positioning itself as a software company.
 
In addition, the management board resolved to sell up to 129,913 treasury shares in exclusion of shareholders' subscription rights. The sale will be performed via the stock market and outside the stock market at prices that are not significantly below current market prices.
 
Munich-based SHS VIVEON AG is listed on the M:access segment of Munich Stock Exchange and is operating at six sites. With some 200 employees and more than 200 customers in 15 countries, the software company is one of Europe’s leading providers of customer management. "Professional Services Value" is part of its product-independent consulting and currently generates annual revenue of about EUR 6.0 million with around 40 employees.
