Heuking Kühn Lüer Wojtek advises AUCTUS on the acquisition of additional rehab centers to expand Celenus Group

Heuking Kühn Lüer Wojtek advised Celenus Group, included in the portfolio of Munich-based private equity investor Auctus, on the acquisition of two rehabilitation centers. The operating companies of Nexus-Klinik in Baden-Baden and of Klinik Carolabad in Chemnitz were acquired at 100% each via a newly established subsidiary.
 
Both centers are focusing on psychosomatic medical issues. As part of the transaction, one of the previous shareholders and general manager of the operating companies, Thomas Schindler, also took out an interest in the new company. The transaction is part of the buy-and-build strategy that Auctus had begun to pursue with the acquisition of the rehab center division of Marseille-Kliniken Group. Financing was obtained from the funds advised by Auctus and from acquisition financing by Apo-Bank.
 
Heuking Kühn Lüer Wojtek legally advised AUCTUS and its portfolio company Celenus comprehensively on the acquisition of the two rehab centers. The advice comprised the structuring of the transaction, legal due diligence and the drafting and negotiating of the contract documentation.
 
Heuking Kühn Lüer Wojtek's team for the transaction was led by Munich-based private equity partner Boris Dürr, who had advised Auctus previously with his team on the entry into the rehab market by acquiring the rehab division from Marseille Kliniken AG and on additional acquisitions and who had transferred the client relationship to Heuking Kühn Lüer Wojtek when he joined the firm.
