Heuking Kühn Lüer Wojtek advises Janoschka Group on corporate financing

With a team led by Frankfurt-based Partner Dr. Günther M. Bredow, Heuking Kühn Lüer Wojtek advised Janoschka Group on replacing existing corporate financing at a volume of about EUR 27 million. Existing bridge financing by IKB Deutsche Industriebank AG was replaced by financing granted by IKB Deutsche Industriebank AG and LFPI European Debt Fund SCA as mezzanine capital. In addition, senior loans and credit lines were granted by IKB Deutsche Industriebank AG, NordLB, and Sparkasse Offenburg.

International Janoschka Group, headquartered in Kippenheim/Baden-Württemberg, is one of Europe's largest full-service providers of customized prepress products, services, and solutions in the packaging market. Its services include engraving and laser engraving, etching, repro and graphic services, flexographic and offset printing. In addition to several German companies, Janoschka Group also has subsidiaries in France, Spain, Switzerland, the Netherlands, Poland, Portugal, Russia, Malaysia, Vietnam, Argentina, and Mexico.

IKB Deutsche Industriebank AG grants loans and provides risk management, capital market, and advisory services to mid-sized companies in Germany and across Europe. Organized as a Luxemburg-based SICAV, LFPI European Debt Fund was launched in mid-2014 by LFPI Group, independent, international multi-asset managers with more than EUR 3 billion in assets under management. LFPI Group was formed from a division of French bank of Lazard Frères focusing on private equity transactions and offers its investors investment opportunities in the private equity, real estate, debt and asset management asset classes.

Heuking Kühn Lüer Wojtek had advised Janoschka Group in the summer of 2015 when establishing the now replaced bridge loan by German IKB Industriebank AG. In the current transaction, Heuking Kühn Lüer Wojtek gave extensive legal advice on designing, negotiating, and implementing the financing agreements.
