HEUKING Advises Pentixapharm Holding AG on Capital Increase
A HEUKING team consisting of partners Christopher Görtz and Michael Neises, together with Senior Counsel Dr. Andreas Meyer, provided legal advice to Pentixapharm Holding AG in connection with the implementation of a rights offering capital increase and a subsequent private placement.
Berlin-based Pentixapharm Holding AG completed the capital increase, which had commenced on July 1, 2026, on July 27, 2026. In the course of the transaction, a total of 11,020,212 new no-par-value bearer shares were placed at a price of €1.85 per share. The offering was significantly oversubscribed, allowing all offered shares to be placed; gross proceeds from the issuance totaled approximately €20.4 million. The company's principal shareholder, Eckert Wagniskapital und Frühphasenfinanzierung GmbH, fully exercised its subscription rights. BankM AG acted as Lead Manager for the transaction, with NuWays serving as Selling Agent.
The proceeds of the issuance are intended primarily to finance key steps of the pivotal Phase 3 PANDA trial. The trial addresses a critical diagnostic bottleneck in primary aldosteronism and hypertension: the non-invasive subtyping of affected patients to guide treatment decisions. The capital measure followed two significant U.S. regulatory milestones: in June 2026, the U.S. Food and Drug Administration (FDA) authorized the trial to proceed; in July 2026, the diagnostic approach underlying the trial received Fast Track Designation from the FDA.
