Heuking Kühn Lüer Wojtek advises Hydrotec AG on capital increase to finance growth

HYDROTEC Gesellschaft für Wassertechnik AG (HYDROTEC) offers its shareholders the option to purchase new shares in order to further accelerate corporate growth. Heuking Kühn Lüer Wojtek legally advised the company on the capital increase.
 
The net proceeds from the issue in the scope of the capital increase will primarily serve the intention of acquiring a majority share in HydroTec GmbH, established in 1985. Up to EUR 4 million of the proceeds from the issue are to be used to acquire just over 50 percent of the shares in HydroTec GmbH. In a second step, the remaining GmbH shares are then to be acquired by an increase of capital in kind. The subscription period commenced on November 1, 2012 and will end on November 15, 2012. The subscription price will likely be determined and published on November 12, 2012. Any unsubscribed shares after expiry of the subscription period will be offered in private placement by Schnigge Wertpapierhandelsbank AG to institutional investors, including in Germany. The offering period for purchase offers runs from November 1, 2012 until November 21, 2012.
 
HYDROTEC AG is specializing in water treatment. The company develops, produces and sells technical solutions and products in drinking and process water technology. The range covers filtration, ion exchange, softening and selective exchange processes, metering technology, untreated water treatment, UV disinfection, chemical-free water treatment and protective filters (water management systems).
