Heuking Kühn Lüer Wojtek advises PANTALEON Entertainment AG on cash capital increase

Led by Dr. Thorsten Kuthe, the business and commercial law firm of Heuking Kühn Lüer Wojtek advised PANTALEON Entertainment AG as transaction counsel on a cash capital increase in an accelerated bookbuilding. The increase took place through partial utilization of the company’s authorized capital. Under exclusion of shareholder subscription rights, the company's share capital was increased from EUR 1,000,000.00 to up to EUR 1,100,000.00 by issuing up to 100,000 new no-par value ordinary bearer shares against cash contributions.
 
The new shares were placed exclusively with qualified investors as part of a private placement in an accelerated bookbuilding at an issue price of EUR 60.00 per share. The new shares will carry full dividend rights as of January 1, 2015. PANTALEON Entertainment AG intends to use the gross proceeds of EUR 6 million to fund the global rollout of the innovative cloud-based video-on-demand (VoD) platform "PANTAFLIX."
 
The capital increase was led by Hauck & Aufhäuser Privatbankiers KGaA as sole bookrunner. The new shares will be included without a prospectus in the existing listing on the Entry Standard of the Frankfurt Stock Exchange.
 
The basis of PANTALEON group was created when PANTALEON Entertainment GmbH was founded by Matthias Schweighöfer and Dan Maag in 2009. PANTALEON Entertainment AG, headquartered in Kronberg im Taunus, and with offices in Berlin, Munich, and Frankfurt am Main, is a media enterprise focused on the development and production of feature films, and the exploitation of the rights to those movies.
