Heuking Kühn Lüer Wojtek advises WealthCap on acquisition of C&A headquarters in Düsseldorf

Heuking Kühn Lüer Wojtek advised issuing house WealthCap, a subsidiary of UniCredit Bank AG, on the acquisition of the European headquarters of fashion retailer C&A Mode GmbH & Co. KG in Düsseldorf. The property was acquired by means of a special purpose company from Generali Lebensversicherung AG. The building, constructed in 2006, has an area of 34,000 square meters.

As part of a scheduled expansion, a larger conference center, additional office space in another administrative building and a parking garage are to be constructed upon the requests of the tenant C&A, for which some of the existing buildings have to be torn down. The building permit for the expansion of the property was already granted. As concerns project development, WealthCap is collaborating with Düsseldorf-based project developer CODIC.

Heuking Kühn Lüer Wojtek provided comprehensive legal advice to WealthCap in the course of the transaction. This included structuring the transaction, carrying out due diligence and drafting the extensive set of agreements, particularly the property acquisition contract, the general contractor and construction agreements and the collaboration between WealthCap and CODIC.
