HEUKING advises epsotech on international realignment and acquisition by SKENDER GmbH
A HEUKING team led by Partners Prof. Dr. Georg Streit, Dr. Marc Scheunemann, and Dr. Ulrich Jork advised epsotech group on legal and tax matters relating to its international realignment. The transaction involved the acquisition of the group’s international subsidiaries by SKENDER GmbH. The affected companies – epsotech UK, epsotech FR (including Axipack), epsotech IT, and epsotech AT – were successfully integrated into the new structure and will operate under the brand “epsotech part of SKENDER GmbH” going forward.
The implementation of the transaction marks the completion of epsotech’s transition to an owner-managed structure for its international operations. The acquired companies are no longer part of the self-administration proceedings involving epsotech Holding GmbH in Germany.
In March 2025, the creditors of epsotech Holding GmbH had approved the acquisition. The transaction represents a key milestone in the group’s strategic realignment. Going forward, SKENDER GmbH will assume both operational and strategic management of the international companies. A similar structure is planned for the German entity once economic conditions permit.
epsotech is a leading European manufacturer of thermoplastic semi-finished products. Across six sites, the company develops and produces sheets and films for applications in sectors such as medical technology, transportation, construction, and packaging. Its goal is to ensure all products are fully recyclable and can be reintegrated into the material cycle.
